1. Scope of Services

Mingtu LLC provides tax and financial services including but not limited to: individual and business federal/state tax preparation, quarterly payroll tax filings and W-2/1099 preparation, monthly bookkeeping, business formation and dissolution, S-Corp elections (Form 2553), and tax consulting.

The specific scope of each engagement is governed by a signed Engagement Letter. Services not listed in the Engagement Letter are outside the scope of that engagement.

2. Client Responsibilities

You agree to:

  • Provide complete, truthful, and accurate financial information and documents. Knowingly providing false information may constitute tax fraud and is solely your responsibility.
  • Respond to our information requests in a timely manner to ensure on-time filing.
  • Carefully review all completed tax returns before submission and authorize filing via electronic signature (Form 8879) or written consent.
  • Keep your client portal account credentials secure and not share them with others.

3. Fees and Payment

Service fees are as stated in the quote or Engagement Letter. Our typical payment structure is:

  • Retainer: $100 due at Engagement Letter signing, credited toward the total fee
  • Balance: Remaining amount due when the return is complete and sent for your signature

We accept payment via Zelle. A receipt will be issued upon payment confirmation.

Additional fees may apply if incomplete or inaccurate information requires extra work; we will notify you before proceeding.

4. No Guarantee of Tax Outcomes

Mingtu LLC will prepare your tax returns professionally based on the information you provide and current tax law. We do not guarantee any specific refund amount or tax outcome. Final results depend on your individual financial circumstances and determinations by the IRS or state tax authorities.

Should your return be audited, we can provide assistance as a separate engagement at additional cost.

5. Filing Deadlines

We will advise you of applicable filing deadlines. Mingtu LLC is not responsible for penalties or interest resulting from a missed deadline caused by a client's delay in providing documents or responding to requests. Please notify us in advance if you need an extension filing.

6. Confidentiality

Mingtu LLC maintains strict confidentiality over all financial information you provide and will not disclose it to third parties without your authorization, except as required by law (e.g., tax authority requests). We comply with the security standards of IRS Publication 4557, Safeguarding Federal Tax Records.

7. Intellectual Property

Tax returns and documents we prepare become your property upon full payment. We may retain copies for internal records for a minimum of 7 years.

8. Limitation of Liability

To the fullest extent permitted by law, Mingtu LLC's liability for service errors (excluding intentional fraud or gross negligence) shall not exceed the total fees you paid for the specific engagement. We are not liable for indirect damages, penalties resulting from inaccurate information you provided, or audit outcomes.

9. Termination

Either party may terminate the engagement with written notice (email is sufficient). If you terminate mid-engagement, fees for work already completed remain due. If Mingtu LLC terminates, fees collected for uncompleted work will be refunded.

10. Governing Law

These Terms are governed by the laws of the State of California. Disputes will first be addressed through good-faith negotiation; unresolved disputes shall be submitted to a court of competent jurisdiction in Los Angeles County, California.
